Board Member Responsibilities and Qualifications

Mission
The mission of The Rezvan Foundation for Excellence is to provide students who grew up in foster care with a scholarship to obtain a college education and mentorship to support their pursuit of professional development.
Responsibilities:
The Board Member will support the work of The Rezvan Foundation and provide mission-based leadership and strategic governance. Specific Board Member responsibilities include:
Legal Duties
  1. Duty of Care: Take care of the nonprofit by ensuring prudent use of all assets, including facility, people, and goodwill;
  2. Duty of Loyalty: Ensure that the nonprofit's activities and transactions are, first and foremost, advancing its mission; Recognize and disclose conflicts of interest; Make decisions that are in the best interest of the nonprofit corporation; not in the best interest of the individual board member (or any other individual or for-profit entity).
  3. Duty of Obedience: Ensure that the nonprofit obeys applicable laws and regulations; follows its own bylaws; and that the nonprofit adheres to its stated corporate purposes/mission.
Leadership, governance, and oversight
  1. Regularly attends board meetings and important related meetings.
  2. Makes serious commitment to participate actively in committee work.
  3. Volunteers for and willingly accepts assignments and complete them thoroughly and on time.
  4. Stays informed about committee matters, prepares themselves well for meetings, and reviews and comments on minutes and reports.
  5. Gets to know other committee members and builds a collegial working relationship that contributes to consensus.
  6. Is an active participant in the committee's annual evaluation and planning efforts.
  7. Participates in fundraising for the organization
Ideal candidates will possess the following qualifications:
  • Extensive professional experience with significant executive leadership accomplishments in business, government, philanthropy, or the nonprofit sector 
  • A commitment to and understanding of Rezvan Foundation for Excellence’s beneficiaries, preferably based on experience 
  • Savvy diplomatic skills and a natural affinity for cultivating relationships and persuading, convening, facilitating, and building consensus among diverse individuals 
  • Personal qualities of integrity, credibility, and a passion for improving the lives of Rezvan Foundation for Excellence’s beneficiaries
  • A connection to or understanding of the foster care system
